Important Disclosures

Last updated: July 16, 2026

This page sets out important disclosures regarding Ironstone, Inc. ("Ironstone"), the content of ironstonecap.com, and any communications with Ironstone.

 Ironstone as an investment platform
Ironstone is a private investment and operating platform. Ironstone's current active strategy is direct sponsorship of commercial real estate. Nothing on this site restricts Ironstone to any single asset class, sector, or strategy; the platform is structured to pursue investment strategies that meet the firm's operating discipline and its investors' return objectives, as those strategies are launched from time to time in separate single-purpose vehicles.

No offering
The information on this site is provided for general informational purposes only. Nothing on this site constitutes — and nothing should be construed as — an offer to sell, or a solicitation of an offer to buy, any security, real estate interest, or any interest in any investment vehicle. Any offering will be made only by way of a confidential private placement memorandum, subscription documents, operating agreement, and other definitive offering materials, distributed only to qualified prospective investors in jurisdictions where such offering is lawful.

Accredited investors only
Any investment opportunity referenced on the Site is intended exclusively for qualified, accredited investors as defined under Rule 501 of Regulation D under the Securities Act of 1933, as amended. Investors must independently verify their qualified status. Ironstone reserves the right to refuse any investment for any reason.

No investment advice, tax, or legal advice
The content of this site is informational and does not constitute investment, legal, tax, accounting, or financial advice. Past performance is not a reliable indicator of future results. Prospective investors should consult their own independent professional advisors before making any investment decision. Real estate investments carry tax consequences (including K-1 reporting, depreciation, and passive activity considerations) that vary by investor and jurisdiction; consult a qualified tax advisor.

Forward-looking statements
Statements on the Site that relate to future events, projected returns, market dynamics, planned acquisitions, operating performance, tenant demand, cap rates, or any other matter that is not a historical fact are forward-looking statements. Forward-looking statements are based on current expectations and assumptions and involve risks, uncertainties, and other factors that may cause actual results to differ materially from those expressed or implied. Factors that may cause such differences include, but are not limited to: changes in economic and real-estate market conditions, interest-rate movements, cap-rate compression or expansion, tenant defaults and lease-renewal failures, availability and cost of financing, regulatory developments (including zoning, environmental, and tax law changes), integration risks, operating execution, and capital-markets liquidity. Ironstone undertakes no obligation to update any forward-looking statement to reflect subsequent events or circumstances.

Real estate investment risk
Private commercial real estate investments involve substantial risk, including the risk of loss of principal. Real estate is illiquid and cannot be readily sold at any time; hold periods typically extend three to seven years or longer. Property values fluctuate with market conditions, tenant demand, and interest rates. Investments are typically leveraged (approximately 60–70% loan-to-cost), which amplifies both gains and losses; leverage carries the risk of debt-service default, foreclosure, and loss of investor equity. Individual properties may face tenant defaults, lease-renewal risk, mark-to-market rent declines, unexpected capital expenditures, environmental remediation costs, or zoning changes. Investments in Ironstone-sponsored real estate offerings are appropriate only for investors who can bear these risks and the potential loss of their entire investment.

Target returns and illustrative examples
Target returns (including net LP IRR, equity multiples, cash-on-cash yields, and cap rates) referenced on the Site or in related materials are objectives and estimates only, are hypothetical, are not based on actual investment results, and are not guarantees of future performance. Illustrative deal examples, financial models, cap-rate assumptions, and pro-forma projections are for illustrative purposes only and are not representations of any specific offering. Actual returns depend on execution, leverage, financing terms, interest rates, cap-rate movement, tenant performance, and market conditions, and may differ materially from illustrative or targeted returns. Past performance is not indicative of future results.

Sponsor fees, waterfall, and preferred returns
Sponsor fees, distribution waterfalls, preferred returns, GP co-investment amounts, and carried-interest splits shown on the Site or in related materials are illustrative of market-standard sponsor terms and are set separately for each investment in its definitive offering documents. Terms of a specific offering may differ materially from illustrative terms shown here. Investors should review the definitive offering documents for the specific terms of any offering.

Single-purpose entities
Each Ironstone-sponsored real-estate investment is typically held in a separate single-purpose entity (SPE) or joint venture (JV) formed for the specific asset. Investors in a specific SPE or JV have rights only with respect to that specific vehicle and its underlying asset, and not with respect to Ironstone, Inc., other Ironstone-sponsored vehicles, or other Ironstone activities.

Submissions and confidentiality
Unsolicited submissions to Ironstone — including business proposals, acquisition opportunities, and investment inquiries — are not deemed confidential unless and until Ironstone has executed a written non-disclosure agreement covering the specific submission. You should not transmit any information through this site that you consider confidential unless a mutual NDA is already in place.

Trademarks
IRONSTONE is a registered trademark of Ironstone, Inc., United States Patent and Trademark Office. All other trademarks referenced on the Site are the property of their respective owners and used for identification purposes only.

Jurisdiction
The Site is operated from the United States. The Site is not directed to any jurisdiction in which the offering or distribution of materials related to investments would be unlawful, and persons in such jurisdictions should not access the Site.
